These Terms & Conditions ("Terms") govern access to and use of the MANO platform ("MANO", "the Platform"), operated by MANOAI Limited, a company registered in England and Wales ("we", "us", "our"). By creating an account, accepting an invite, signing in, or using MANO, you agree to these Terms. If you do not agree, you must not use the Platform.

1. About MANO

MANO is a productivity and workflow platform for car finance account managers, broker teams, and related professionals. Features may include, depending on your plan and organisation settings:

MANO is a workflow and decision-support tool only. It does not provide regulated financial advice, legal advice, compliance advice, credit broking advice, underwriting decisions, or investment advice.

2. Eligibility and Authority

You must be at least 18 years old to use MANO. If you use MANO on behalf of a business, brokerage, lender, dealer, or other organisation, you confirm that you are authorised to do so and, where applicable, to bind that organisation to these Terms.

You must provide accurate account information and keep it up to date. Access may be invite-only, organisation-approved, or manager-approved. We may refuse, suspend, restrict, or remove access where we believe an account is unauthorised, unsafe, inactive, abusive, or not aligned with these Terms.

3. Accounts and Security

You are responsible for your login credentials and all activity under your account. You must not share passwords, reuse shared team accounts, bypass access controls, or allow unauthorised people to use your account.

You must tell us promptly if you suspect unauthorised access, a compromised password, incorrect permissions, or a data security issue. We may take security measures including forcing sign-out, suspending accounts, revoking invites, removing admin rights, limiting features, or deleting suspicious accounts.

4. Plans, Billing, and Changes

MANO may offer free, paid, trial, and custom organisation plans. Feature availability, limits, history, AI usage, admin features, and public-link features may vary by plan, organisation, and security settings.

Paid subscriptions are billed in advance via Stripe unless agreed otherwise in writing. We do not store card details. We may change pricing, plan names, plan limits, or feature availability with reasonable notice where practicable. Where payment is missed, disputed, or reversed, access may be downgraded, suspended, or cancelled.

All fees are exclusive of VAT and other applicable taxes unless expressly stated. Refunds and cancellations are handled in line with our Refund Policy and any separate written agreement.

6. Customer Data and Your Responsibilities

MANO lets users input customer, vehicle, dealer, application, deal, communication, and finance-related information. You, your employer, or your organisation are responsible for deciding what customer data is entered and why. You must ensure that you have a lawful basis and any required notices or consents before entering or sharing customer data through MANO.

For customer data you enter or cause to be entered, you or your organisation normally act as the data controller and MANOAI Limited acts as a processor. For account, billing, security, product, analytics, and direct MANO communications, MANOAI Limited acts as a controller. Business and Enterprise customers may request a Data Processing Agreement.

Public customer-facing features, including Smart Send packs, e-sign tracking links, booking pages, and customer pack pages, may collect or log customer interactions. You are responsible for telling customers when you use MANO to process their information and for ensuring your own privacy notices and permissions cover that use.

7. AI-Assisted and Risk Features

MANO may use AI-assisted features and third-party data sources to help with drafting, checking, ranking, extracting, summarising, risk scoring, vehicle health checks, MOT summaries, dealer checks, and workflow recommendations. These features are support tools, not final decisions.

AI, risk, vehicle, dealer, FCA, Google, and MOT outputs may be incomplete, delayed, inaccurate, or based on third-party data outside our control. You must review and verify outputs before relying on them, sharing them, saving them to customer records, or using them in a regulated or customer-facing context.

MANO does not make solely automated decisions with legal or similarly significant effects on customers. Users remain responsible for human review, professional judgement, compliance, and customer communications.

8. No Regulated Advice or Official Checks

MANO is not authorised by the Financial Conduct Authority and does not provide regulated financial advice or credit broking advice. FCA Register information, MOT information, Google/dealer information, lender criteria, calculators, and risk outputs are provided for productivity and reference only.

You remain responsible for checking official sources, lender rules, affordability requirements, FCA permissions, dealership status, vehicle condition, customer consent, and internal compliance requirements before acting.

9. Third-Party Services and Data Sources

MANO relies on third-party services for hosting, authentication, database storage, payments, email delivery, public data lookups, vehicle and MOT data, FCA data, AI-assisted features, maps/search-style lookup data, and infrastructure. Third-party services may be unavailable, delayed, rate limited, inaccurate, or changed without notice.

We are not responsible for third-party data accuracy or availability. Third-party services have their own terms and privacy notices.

10. Intellectual Property

All software, branding, design, workflows, prompts, systems, templates, reports, layouts, and content within MANO are owned by MANOAI Limited or its licensors unless stated otherwise. You must not copy, reproduce, adapt, distribute, resell, or exploit MANO or its underlying systems without written permission.

You retain ownership of data you input into MANO. You grant us a limited licence to host, process, transmit, display, and back up that data to provide, secure, maintain, and improve the Platform.

11. Confidentiality

You must keep non-public MANO materials, pricing, product information, technical details, and organisation data confidential unless already public or authorised for disclosure. We will take reasonable steps to keep your non-public organisation data confidential, subject to our need to provide, support, secure, and comply with the law in relation to the Platform.

12. Availability and Updates

We aim to keep MANO available and useful, but we do not guarantee uninterrupted or error-free access. We may update, restrict, replace, remove, or discontinue features, including AI, public-link, lookup, and beta features. We may carry out maintenance or urgent security changes without notice where needed.

13. Suspension and Termination

We may suspend or terminate access where you breach these Terms, fail to pay, create security risk, misuse public links, attempt unauthorised access, submit unlawful data, or where required by law. You may stop using MANO at any time. After termination, we may retain limited data where required for legal, billing, security, audit, dispute, or legitimate business purposes.

14. Limitation of Liability

To the maximum extent permitted by law, MANOAI Limited will not be liable for loss of profit, commission, revenue, goodwill, opportunity, data, or business; indirect or consequential loss; losses caused by third-party services or data; or losses caused by reliance on AI, calculators, templates, risk outputs, lookup results, or reports without appropriate review.

Our total aggregate liability for claims arising from or relating to MANO is limited to the fees paid by you to MANO in the 12 months before the claim. If you use MANO on a free plan, trial, beta, or unpaid basis, you use it at your own risk to the fullest extent permitted by law.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or anything else that cannot legally be limited or excluded.

15. Indemnity

You agree to indemnify MANOAI Limited against claims, losses, damages, costs, and expenses arising from your misuse of MANO, breach of these Terms, unlawful data processing, customer complaints caused by your use of MANO outputs, or failure to comply with laws or regulatory obligations that apply to your business.

16. Communications

We may send service, security, billing, admin, legal, and product update communications. We may send marketing where permitted by law. You can unsubscribe from marketing communications, but essential service messages may still be sent while your account or organisation remains active.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the Platform, website, or email where practicable. Continued use of MANO after changes are published means you accept the updated Terms.

18. Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes arising from or relating to these Terms or MANO.
